"CHoM" refers to The Cosmic Human Operating Model, including all frameworks, methodologies, assessments, and intellectual property
"Services" includes all offerings described in Section 3 below
"User," "you," or "your" refers to any person or entity accessing our Services
"Individual Client" refers to persons purchasing personal assessments and coaching
"Business Client" refers to organisations purchasing business assessments, transformation programmes, or leadership development
"Practitioner" refers to individuals who have completed our certification programmes
"Content" includes all materials, resources, assessments, and information provided through our Services
2. Acceptance of Terms
By using our Services, you confirm that:
You are at least 18 years old (or your organisation has authority to enter into contracts)
You have the legal capacity to enter into binding contracts
You will comply with all applicable laws and regulations
All information you provide is accurate and truthful

A. Coach Certification Programmes

Level 1: Licensed Facilitator — £2,497 (+ £497/year renewal)
12 CPD hours | Modules 0, 1, 2, 8 Part 1 | 1-on-1 coaching rights
Level 2: Certified Practitioner — £3,997 (+ £397/year renewal)
35 CPD hours | Modules 2.5, 3, 4, 5, 6, 7, 8 Part 2, 10 Part 1 | Group facilitation & team workshop rights
Level 3: Master Practitioner — £5,997 (no renewal fee)
100 CPD hours | Modules 8.5, 9, 10 Part 2, 11, 12 | Train-the-trainer rights

Leadership Development Workshops — £10,000-£30,000
1-3 day facilitated workshops, team alignment, change management, leadership capability building
6-12 Month Transformation Journey — £30,000-£80,000
Assessment + debrief + ongoing coaching + team alignment + integration into leadership practice
Enterprise License — £50,000-£250,000+/year
Organisation-wide CHoM deployment, platform access, train-the-trainer, coach certification for internal teams

All services also include free masterclasses, educational content, and access to CHoM community resources.
4. Registration and Account
4.1 Account Creation
To access certain Services, you may need to create an account. You agree to:
Provide accurate, current, and complete information
Maintain and update your information as needed
Keep your login credentials secure and confidential
Notify us immediately of any unauthorised access
For Business Clients: Ensure authorised signatories complete purchases
4.2 Account Termination
We reserve the right to suspend or terminate your account if you:
Violate these Terms
Engage in fraudulent or illegal activity
Misuse our Services or Content
Fail to pay applicable fees
Breach professional standards (for Practitioners)
5. Payments and Refunds
5.1 Pricing and Payment
All prices are in GBP (£) unless stated otherwise
Prices are subject to change with notice (existing purchases honored)
Payment is due at the time of purchase unless otherwise agreed in writing
We accept payment via credit card, debit card, and bank transfer
Annual renewal fees apply to Level 1 and Level 2 practitioner certifications
Business Clients may be invoiced with 14-30 day payment terms (agreed in contract)
5.2 Refund Policy by Service Type
A. Coach Certification Programmes
14-day money-back guarantee: Full refund if you request within 14 days of purchase AND have not accessed more than 25% of the course content
After 14 days or >25% completion: No refunds, but you may transfer your enrollment to another participant (subject to approval and £150 admin fee)
Module bundles: Non-refundable once accessed
Annual renewal fees: Non-refundable (cancel before renewal date to avoid future charges)
B. Personal Assessments & Coaching
Assessments (£97-£297): Non-refundable once report is generated
Coaching packages: Refundable for unused sessions (minus 15% admin fee) within first 30 days of purchase
VIP programmes: Custom refund terms outlined in your service agreement
CHoM Circle membership: Cancel anytime, refund prorated to unused monthly period
Session cancellations: 48-hour cancellation policy (no refund/credit for late cancellations or no-shows)
C. Business Services
Team assessments: Non-refundable once assessments are completed and reports delivered
Workshops: 50% refund if cancelled 30+ days before delivery; 25% refund if 15-29 days; no refund if <15 days
Transformation journeys: Refundable for undelivered milestones (minus 20% admin fee) within first 60 days
Enterprise licenses: Annual fees are non-refundable; cancel before renewal to avoid next year's charge
Rescheduling: Workshops may be rescheduled once at no charge (subject to availability); subsequent changes incur £500 fee
IMPORTANT: Refund requests must be submitted in writing to [email protected]. Refunds processed within 14 business days to original payment method.
5.3 Late Payment
For invoiced Business Services, payment is due within 14-30 days (as agreed). Late payments may incur:
5% monthly interest charge on outstanding balance
Suspension of service delivery until payment received
Late payment fees as permitted by law
6. Intellectual Property
6.1 Ownership
All Content, including the CHoM framework, 5 Signal System, assessments, methodologies, materials, logos, and trademarks, are owned by Cosmic Human Operating Ltd and protected by copyright, trademark, and intellectual property laws.
6.2 Limited License
Individual Clients receive a personal, non-commercial license to:
Use their assessment results for personal development
Access coaching sessions and Circle membership content
NOT share, reproduce, or distribute Content to others
Business Clients receive an organisational license to:
Use team reports internally for leadership development
Share results with participants within agreed scope
NOT use Content to create competing programmes or train external parties
Enterprise licensees receive expanded usage rights per contract
Certified Practitioners receive a professional license to:
Level 1: Deliver 1-on-1 coaching using CHoM framework; use assessment tools with individual clients; 30% commission on assessment sales
Level 2: All Level 1 rights PLUS facilitate group programmes, deliver team workshops, conduct team assessments; 40% commission
Level 3: All Level 1+2 rights PLUS train and certify other practitioners (with separate train-the-trainer license); supervise coaches; 50% commission + trainer royalties
6.3 Restrictions
You may NOT:
Reproduce, distribute, or publicly display Content without written permission
Create derivative works or modify our materials
Sell, rent, or sublicense access to our Services (except as licensed practitioners)
Remove copyright or proprietary notices
Use our Content to train competing programmes or frameworks
Reverse-engineer our assessment algorithms or methodologies
Claim CHoM as your own work or misrepresent your relationship with us
7. User Conduct
You agree NOT to:
Violate any laws or regulations
Infringe on intellectual property rights
Harass, abuse, or harm others
Submit false or misleading information
Engage in fraudulent activity or impersonation
Transmit viruses, malware, or harmful code
Attempt to gain unauthorized access to our systems
Scrape, crawl, or harvest data from our website

8. Professional Standards and Scope of Practice
8.1 What CHoM Is
CHoM is a coaching, leadership development, and organisational transformation framework based on the 5 Signal System (Body, Inner, Field, Design, Timing).
8.2 What CHoM Is NOT
CHoM is NOT:
Therapy, counselling, or mental health treatment
Medical advice, diagnosis, or treatment
Legal, financial, or professional advice
A substitute for professional medical or mental health care
If you are experiencing a mental health crisis, suicidal thoughts, or require medical attention, please contact emergency services or appropriate healthcare providers immediately.
8.3 Practitioner Requirements
Certified CHoM Practitioners agree to:
Operate within their scope of competence and training level
Refer clients to appropriate professionals (therapists, doctors, lawyers) when needed
Uphold professional coaching standards (ICF, EMCC, BACP, or equivalent)
Maintain client confidentiality and privacy
Practice trauma-informed approaches (especially Level 2+)
Obtain informed consent before assessments and coaching
Maintain professional boundaries
Pursue ongoing professional development (CPD requirements)
Maintain professional liability insurance (recommended)
Clearly represent their certification level and scope of practice
Violations may result in suspension or revocation of certification.
8.4 Business Client Responsibilities
Organisations using CHoM for leadership development agree to:
Obtain consent from employees participating in assessments
Use team reports ethically and in accordance with employment law
Not use CHoM results for hiring, firing, or performance management decisions (use as development tool only)
Maintain confidentiality of individual assessment results
Provide appropriate context and support for organisational change initiatives
9. Disclaimers and Limitations
9.1 No Guarantees of Results
IMPORTANT DISCLAIMER:
We do not guarantee specific outcomes, results, income, or performance improvements from using our Services. Success depends on many factors including your effort, commitment, experience, market conditions, and circumstances beyond our control.
Revenue examples (£150/session to £500K+ for practitioners, transformation outcomes for individuals/teams) are for illustrative purposes based on real client results but do not represent typical or guaranteed results.
9.2 "As Is" Provision
Our Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:
Merchantability or fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness of Content or assessments
Uninterrupted or error-free operation
Specific coaching outcomes or transformation results
9.3 Assessment Accuracy
CHoM assessments are self-reported tools based on your responses. Results are interpretive and subjective. We cannot guarantee accuracy or that results will remain consistent over time as individuals evolve.
9.4 Third-Party Services
We use third-party services (GoHighLevel, Base44, Googlemeet, Genspark, Zoom, payment processors, hosting) and are not responsible for their performance, availability, security, or privacy practices.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Cosmic Human Operating Model Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
Loss of profits, revenue, or business opportunities
Loss of data or information
Business interruption or failure to achieve expected results
Personal injury, emotional distress, or relationship issues
Damage to professional reputation
Third-party claims arising from your use of CHoM with clients
Our total liability for any claim arising from these Terms or our Services shall not exceed:
Individual Clients: The amount you paid in the 12 months preceding the claim
Business Clients: The amount paid under the specific contract giving rise to the claim
Practitioners: The certification fees paid for your current level
Exceptions: This limitation does not apply to liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or other liability that cannot be limited by UK law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Cosmic Human Operating Model Ltd, its directors, officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
Your use of our Services
Your violation of these Terms
Your violation of any rights of another party
Your professional practice (for Practitioners using CHoM with clients)
Your implementation of CHoM in organizational settings (for Business Clients)
Your breach of professional standards or ethical obligations
12. Confidentiality and Data Privacy
12.1 Your Confidentiality Obligations
You agree to:
Keep proprietary CHoM methodologies and Content confidential
Not disclose trade secrets, business methods, or assessment algorithms
Protect the privacy of other participants in programmes and communities
Practitioners: Maintain client confidentiality in accordance with professional standards
Business Clients: Protect individual assessment results and team data
12.2 Our Privacy Practices
We handle your personal data in accordance with our Privacy Policy and UK GDPR. By using our Services, you consent to data processing as described in our Privacy Policy.
13. Termination
13.1 By You
Individual Clients: Cancel Circle membership anytime; coaching packages subject to refund policy
Business Clients: Termination terms outlined in your service contract
Practitioners: You may surrender your certification at any time (no refund of fees); annual renewals cancel automatically if not paid
13.2 By Us
We may terminate or suspend your access immediately, without prior notice, if you:
Breach these Terms or your service agreement
Engage in illegal, unethical, or fraudulent conduct
Misuse our intellectual property or Content
Fail to pay fees or renewal charges
Violate professional standards (Practitioners)
Create risk to clients, participants, or our reputation
13.3 Effect of Termination
Upon termination:
Your right to access Services ceases immediately
You must stop using our Content, materials, and CHoM branding
Practitioners: You must cease representing yourself as certified and stop using CHoM in your practice
Business Clients: You retain access to reports already delivered but cannot request new services
Provisions regarding intellectual property, confidentiality, liability, and indemnification survive termination
14. Modifications to Terms and Services
14.1 Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting with an updated "Last Updated" date. Continued use after changes constitutes acceptance.
For material changes affecting existing contracts (Business Clients, multi-month programmes), we will provide 30 days' notice via email.
14.2 Changes to Services
We may modify, suspend, or discontinue Services (or features) at any time. We'll provide reasonable notice for changes affecting paid services.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Dispute Resolution
16.1 Informal Resolution
